Chifley Police District Chief Inspector Glen Cogdell said officers were called to the crash at around 10.10am on Tuesday after the driver lost control of the B-double truck.
"It was a single vehicle crash, a fully laden semi-trailer rolled," he said.
Police said the driver was not injured in the crash and declined the treatment offered by paramedics.
Emergency services remained at the scene until late in the day as the retrieval process for the B-double continued and injured stock were being put down.
Site of the crash ...
Traffic on the O'Connell Road was affected for several hours as emergency services conducted intermittent stoppages while workers removed the sheep and set about salvaging the truck.
A motorist who passed the scene shortly after the crash said it appeared the driver lost control of the B-double on a corner and rolled.
He said it was a confronting scene for drivers who were passing the site.
"It's on the Bathurst side of Oberon Mount. SES were at the scene, there was one lane operating and traffic was stop and go," he said.
"There were a lot of dead and injured sheep."
